Terms of Service

MeeQi.com provides a Service where people can discover, download, purchase and participate in the rating, review and discussion of books and e-books.

MeeQi also provides Services for Authors to produce, publish and promote their book and digital content online. Digital content ("Content") is defined as information, data, text, graphics or other materials which can be digitally delivered to Users of the Site using the Services on the Site.

Acceptance of the terms

The terms detailed here apply to all visitors ("Users" or "you") to the MeeQi.com website ("Site"), and form a legally binding agree ("Agreement") between the User and MeeQi (MeeQi Limited).

This Agreement details how Users of the Site can rate, review, purchase and download Content on the Site and will also details the rights and responsibilities of Users who use the Services to publish their work on the Site ("Author" or "Creator"). The Site and the Services are provided by MeeQi Limited ("MeeQi") and intended for use by registered members and general site visitors.

Please read these terms carefully as your use of the Site (www.meeqi.com) and any software or services on the Site (Services) is governed and subject to the terms of this Agreement. By using the Site and its domains, you agree to all the terms and conditions, including amendments from time to time, and accept and that you have the legal capacity to enter into this Agreement. Do not use this Site or any of its Services if you do not agree to the terms of this Agreement.

User registration

As a registered User, you must select a username and Password during the registration process. You are solely responsible in all respects for all use of the Site made using your username and Password, and of maintaining the confidentiality of your username and Password. You agree to notify us immediately of any unauthorised use of your e-mail address, username or Password or any other breach of security regarding the Site of which you are aware. MeeQi may retract a username or pen-name that impersonates someone else, is protected by trademark or other proprietary right law, is vulgar or otherwise offensive, or for any other reason.

It is your responsibility as a User to keep up-to-date, any information for yourself on the Site.

Site use

The Site provides tools and facilities for Users to rate, review and discover Content. As a User, you agree not to use the Site to:

  • Upload, post or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.
  • Harm anyone, including minors, in any way.
  • Interfere with the operation of the Site via the use of viruses, programs or technology designed to disrupt or damage software or hardware.
  • Employ a robot, spider or other process or device to harvest e-mail addresses or other User information or to monitor the activity on the Site.
  • Impersonate another person or entity or to forge any e-mail communication or message.
  • Transmit or post material that violates the terms set within this Agreement.

Removing inappropriate material

MeeQi reserves the right to remove any material that we feel is inappropriate, illegal, offensive or potentially harmful in any respect, or negatively affects the Site and Services. At our discretion, we will remove Content and/or ban Users who violate our policies with respect to the Site.

Quality of Content

MeeQi provides Services which provide the Author with the tools to produce and publish their digital Content and we cannot accept responsibility for the quality of the Content hosted or purchased; including the integrity of the content, its formatting, design or overall appearance. MeeQi does not monitor or check individual Content prior to its publication on the Site. This responsibility of such, is with the Author which is provided with the opportunity, within the MeeQi studio, prior to activating and making available on the Site.

External links

The Services include opportunities for links to external websites to exist within the MeeQi Site. If you decide to leave the Site and access any outside website or to use any tools or services from such outside websites, you do so at your own risk.

Purchased content

If you purchase Content on the Site, you agree to the following restrictions with respect to such acquired Content and the information and data contained therein:

  • You may not resell any Content or otherwise profit from its use or display
  • Any sharing, copying, adapting, redistributing, reconfiguring, modifying or creating derivative work from any Content is only permissible if explicitly stated with the Content at purchase and only to the extent to which it has been determined by the Author. Copyright ownership is retained by the Author and you agree to abide by any restrictions included with the Content and its usage.
  • You will not remove or obscure any proprietary rights notices contained in the Content.
  • You acknowledge that you hold a non-exclusive, non-transferable and non-distributable right of use and that you are fee to enjoy the Content for your own use but are not authorised to share, sell or distribute the work to others.

Downloaded content

MeeQi will do our best to put reasonable checks in, but we cannot not guarantee that downloading Content or use of the Site and its Services will be successful, and MeeQi does not represent or warrant that any downloading or use will not cause damage to your computer, data, software, files or peripherals that may be caused through use of the Site and downloading Content.

Removal of infringing Content

MeeQi takes claims of infringement seriously and may take immediate action upon notification of any Content which is claimed to be infringing any party. Generally, upon receipt of a written notice from the infringed party or someone acting on behalf of the infringed, MeeQi will remove the Content and reserves the right to remove any and all information about the Author from the Site.

Infringement by others on Author Content

If a User or any third-party is found to be violating the copyright of the Author or copyright holder, by pirating or illegally distributing Content, you agree to inform MeeQi immediately. Any relief or compensation is to be sought from the offending party and not MeeQi.

Purchasing content

In order to purchase Content on the Site, the User must possess either a valid credit card or debit card. You agree at the time of purchase, to accept any Service fees as clearly detailed within the checkout process. The structure and pricing policy for Service fees may change at any time and shall be effective immediately. All purchases are final and non-refundable. Payment currencies are available in Euros, Pound Sterling or US Dollars.

Advertising

Although we have no intention of placing third-party advertisements, as the owner of the Site, MeeQi reserves the right to place advertisements on the Site.

Site maintenance

Technical, maintenance and other issues may make MeeQi unavailable from time to time. MeeQi makes no commitment, warranty or guarantee that the Site will operate in a timely, uninterrupted or error-free manner, or that the Site will meet User's purposes. MeeQi may also in its discretion modify the features, availability, operation and/or look and feel of the Site from time to time without notice to our users.

Author content

Guidelines

By uploading Content to the Site you agree, at all times during the term of this Agreement, that the Content:

  • Is owned, created by yourself or if any way to the extent that it is owned by someone else, that you have been granted explicit permission to provide the Content to MeeQi for use as described in our Services.
  • Does not violate any copyright, trademark, trade secret or other intellectual property right of any third party.
  • Does not invade any individual's right of privacy or publicity.
  • Does not contain material that is unlawful, obscene, defamatory, pornographic, harassing, threatening, harmful, invasive of privacy or publicity rights, abusive, inflammatory, advocating of illegal activities or otherwise objectionable.
  • Does not include malicious code, which includes, without limitation, viruses, Trojan horses, worms, time bombs, cancelbots, or any other computer programming routines that may damage, interfere with, intercept, or compromise any system, program, data, or personal information or data.
  • Does not portray any information which is untrue or inaccurate as being factual and that the use of any information or instruction of any sort within the Content will not result in personal injury to any person. Despite all this, MeeQi cannot guarantee the accuracy, integrity or quality of Content.
  • In no part plagiarised or pirates any other work or infringes upon any copyright, trademark or proprietary right.

Discontinue because of violation

MeeQi reserves the right, with sole discretion, to discontinue any publication or remove from the Site, any content which is considered a violation to any of the terms within this Agreement.

Keeping Copyrights and grant of use

As an Author, when you post Content on the Site, you keep your copyrights and grant MeeQi the non-exclusive rights to digitally publish, distribute, market and sell that Content within the guidelines which you set during the publishing process and in line with the terms of our agreed Service. As the terms outline non-exclusive rights to MeeQi, as an Author, you are free to publish, licence, market and sell your work elsewhere so long as it does not conflict with any arrangements or agreements between you and any other person or entity. It is the responsibility of the Author to display any copyright notice within the Content if required.

Publication of Work As Is

MeeQi will publish Content as it is delivered through the Service and generally, we will not edit or modify your Content. Modifications may occur as a result of digital conversions and we make no guarantee that accurate preservation of the original Content will be maintained. It is the responsibility of the Author to check the quality of the exported Content before making available on the Site.

Entering into agreement

By uploading and publishing your Content onto MeeQi you warrant that you have the legal capacity to enter this Agreement and that entering into this Agreement does not conflict with any arrangements or agreements between you and any other person or entity.

Deactivating content

As an Author you are provided with tools within the Service to unpublish your work - which will disable your Content on the Site. Deactivating your Content will not remove it from the Library of Customers who have purchased your book prior to deactivation but will stop the page from being accessible for the period it is deactivated.

Content responsibility

As both a User and an Author, you are wholly responsible for the Content. Computers and other equipment (both yours and ours) are subject to occasional malfunction, you agree that you will not hold MeeQi responsible for any inadvertent damage, corruption or destruction to your Content. You are responsible for backing up the Content. MeeQi is not responsible for backing up the Content. You and you are responsible for backing up your own Content. If any Content is damaged, lost or corrupted in transmission, MeeQi will have no obligation or liability to you. As the Author, you are solely responsible for any Content you upload to the Site.

Samples

MeeQi provides Services which allow you to upload, publish and provide a free, complimentary sample which will be made available for free if the Service is used. You agree to grant MeeQi the right to distribute any free complimentary sample, in order to promote the Content, Author, Site and the Services provided by MeeQi.

Crawlable and Searchable rights

MeeQi shall have the right to drive traffic to the Site, Services and Content through Search Engine Optimisation, crawlable content, hyperlinks and any arrangements with third parties; to promote the Content, Author, Site and the Services provided by MeeQi.

Author payments

During the publishing process, Authors are asked to choose the amount of revenue they will receive for the sale of their Content. If MeeQi sells the content and we receive payment, no infringement notices have been filed and the copyright of the Content subsists; we will pay the Author the amount of revenue chosen. The amount of revenue you are owed will be visible within your MeeQi Studio.

Receiving payments

In order to receive revenue from sales, you will need to have a valid and authenticated PayPal account which must be configured and confirmed within your MeeQi Studio. A PayPal account allows you to accept payments, is free to set up, and can registered from the PayPal website (http://www.paypal.com).

To receive payments you must select, via the MeeQi Studio, one of three available currencies - Euros, Pound Sterling or US Dollars - for all payments to be made.

Payments will be made on a monthly basis, with the first payment made a minimum of 60 days after the first sales are made. If payments are less than €50, £50 or $50 - determined by the currency payments are to be received - for Content sales within a month, we reserve the right, at our discretion, to roll your revenue to the following month until that amount is reached.

All payments are made in good faith effort to you, using the contact information and PayPal settings in our records, as set in your MeeQi Studio.

If your account is inactive or terminated and we are unable to contact you using the contact information provided, we may also, at our discretion, charge a termination fee equal to the amount of unpaid creator revenue to cover administrative costs.

Receiving Donations

Revenue can also be generated in the form of User donations to the Author. Payment of any donations to the Author will be treated in the same way as sales revenue.

Overpayment

If MeeQi makes an overpayment for revenue or royalties, including but not limited to, cases when fradulent or unauthorised purchases are charged back to MeeQi after payments have been made, then MeeQi will deduct the funds owed from the accruing payments to be made to the Author. If the amount owed exceeds the accrued or accruing amount to be paid to the Author, then the Author agrees to remit a payment back to MeeQi to compensate and balance the overpayment.

Miscellaneous

Disclaimers

MeeQi does not represent or warrant that downloading Content or use of the site will be successful, and does not represent or warrant that any such downloading or use will not cause damage to your computer, data, software, files or peripherals. MeeQi will not be liable for any damage to your computer, data, software, files, or peripherals that may be caused by your use of the site and downloading Content.

Termination

If you wish to terminate your membership, please contact us with a specific request to do so. Termination of your account may include any unpublished Content, however the exceptions to your ability to remove Content already published may exist as follows:

  • Content which has been granted permission for other Users to incorporate into their own Content projects. If Content has been incorporated into the Content of another project, then the derivative will remain available even when the original is retired.
  • Contents which remains in our archives which we may be legally obliged to retain
  • Content which has been already been sold which remain available on the Site for Users who have purchased that Content.

Limitation of Liability and Indemnification

In no event shall MeeQi or any of its officers, employees, directors, affiliates or Content providers be liable to you or anyone else for any special, consequential, indirect, cover, punitive, incidental or similar damages (including, without limitation, lost profits, lost sales, or lost business) directly or indirectly related to or arising out of the Site, Content on the Site, or any transaction entered hereunder, whether in contract or otherwise.

You will indemnify and hold MeeQi harmless against all third party claims, demands, suits, actions, judgments, losses, costs, damages (direct, indirect and consequential), attorney's fees and expenses that MeeQi may sustain or incur by reason of any breach or alleged breach of any representation, warranty, term or condition of this Agreement, and for any act or omission by you which is in any way related thereto. You will pay for any damages or costs assessed against or incurred by MeeQi.

Digital Rights Management

MeeQi strongly supports author and copyright holder rights to receive compensation for their Content and strongly discourages piracy and any infringement of an Author's work. MeeQi does not include digital rights management systems in order to limit the User's experience and choice to consume Content. As a result, MeeQi cannot completely prevent piracy and Author Work no more than an individual scanning and digitising a printed book. MeeQi therefore embraces no-DRM and encourages Users to purchase licensed copies by making it accessible via a safe and trusted Site and Service and placing trust in the User to honour the terms of usage and copyrights placed on the Content.
